Business terms governing access to and use of Logivo.ai transport, fleet, logistics, automation, AI, web, mobile, integration and related services.
Version production-2026-06-03
1. Agreement structure and order of priority
1.1 The agreement between Logivo.ai and the Customer is made up of: (a) the signed order form, proposal, online checkout, statement of work or other ordering document accepted by Logivo.ai (**Order Form**); (b) these Terms; (c) the Logivo.ai Billing Terms; (d) the Logivo.ai Data Processing Addendum (**DPA**); and (e) any product-specific or service-level terms expressly incorporated in the Order Form (together, the **Agreement**).
1.2 If there is a conflict, the following order of priority applies unless the relevant document expressly says otherwise: first, the Order Form; second, the DPA for personal data processing matters; third, the Billing Terms for billing and payment matters; fourth, these Terms; and fifth, any other policy or documentation referenced by these Terms.
1.3 Purchase orders, supplier portal terms, invoice terms, or other Customer documents do not amend the Agreement unless they are expressly signed by an authorised representative of Logivo.ai and state that they amend the Agreement.
2. Key definitions
**Account** means the Customer account, workspace, tenant or environment through which the Customer and its Authorised Users access the Services.
**AI Features** means any artificial intelligence, machine learning, automation, recommendation, extraction, prediction, route-assistance, planning-assistance, classification, summarisation or similar functionality included in or connected to the Services.
**Authorised User** means an employee, contractor, driver, subcontractor, customer, supplier, administrator or other individual authorised by the Customer to access or use the Services.
**Customer Data** means data, documents, files, instructions, prompts, job details, fleet data, vehicle data, route data, proof-of-delivery material, photos, signatures, messages, integration data and other content submitted to, uploaded to, generated in, or processed through the Services by or on behalf of the Customer or its Authorised Users.
**Documentation** means the user guides, product pages, technical documents, API materials, release notes, onboarding materials and support materials that Logivo.ai makes available for the Services.
**Usage Data** means technical, diagnostic, analytics, security, performance and usage information about the configuration, operation and use of the Services. Usage Data does not include Customer Data except in aggregated or de-identified form.
3. Access to the Services
3.1 Subject to the Agreement and payment of applicable fees, Logivo.ai grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable right during the term to access and use the Services for the Customer's internal business operations.
3.2 The Customer is responsible for: (a) identifying and managing Authorised Users; (b) assigning roles and permissions; (c) keeping credentials secure; (d) ensuring Authorised Users comply with the Agreement; and (e) all activity under the Customer's Account, except to the extent caused by Logivo.ai's breach of the Agreement.
3.3 The Customer must provide accurate account, company, billing and operational information and keep it up to date.
3.4 The Customer must not share individual user credentials. If the Customer becomes aware of unauthorised access or compromised credentials, the Customer must promptly notify Logivo.ai and take reasonable steps to secure the affected Account.
4. Trials
4.1 Unless the Order Form says otherwise, a new Customer may receive one no-charge trial month of the Services beginning on the date the Account is activated or the date stated in the Order Form (**Trial Month**).
4.2 During the Trial Month, Logivo.ai may limit functionality, usage volumes, integrations, support channels, data retention, API access, AI Features, export rights, or onboarding services.
4.3 The Customer may cancel the trial before the Trial Month ends by emailing hello@logivo.ai or by any cancellation method specified in the Order Form. If the Customer does not cancel before the Trial Month ends, the Customer will move into the first paid usage month as described in the Billing Terms.
4.4 Trial accounts are provided to allow genuine evaluation of the Services. The Customer must not create multiple trial accounts to avoid charges or usage limits.
4.5 Except for obligations that cannot lawfully be excluded, trial access is provided without service credits, uptime commitments, refund rights or paid-service warranties.
5. Customer responsibilities in logistics and transport operations
5.1 The Customer remains responsible for its transport, fleet, driver, maintenance, safety, employment, tax, insurance, customs, regulatory, customer-service and operational decisions.
5.2 The Services may support planning, job management, vehicle checks, driver workflows, route visibility, document capture, proof of delivery, notifications, analytics, integrations and AI-assisted workflows. The Services do not replace the Customer's professional judgement, statutory obligations, operator licence obligations, driver management responsibilities, road safety responsibilities, employment law obligations, or contractual obligations to third parties.
5.3 The Customer must ensure that: (a) data entered into the Services is accurate and lawful; (b) drivers and other individuals receive appropriate privacy notices; (c) location tracking and mobile permissions are used only for legitimate operational purposes; (d) the Customer has appropriate rights to upload, process and share Customer Data; and (e) the Customer's use of the Services complies with applicable laws and contracts.
5.4 The Customer must not use the Services in a way that unlawfully monitors workers, tracks individuals outside legitimate work purposes, violates driver or employment laws, or makes automated decisions with legal or similarly significant effects on individuals without appropriate human review and lawful basis.
6. Acceptable use
6.1 The Customer must not, and must not permit anyone else to:
(a) access or use the Services for unlawful, harmful, fraudulent, deceptive, abusive or infringing purposes;
(b) reverse engineer, decompile, disassemble, copy, modify, translate or create derivative works of the Services except to the extent such restriction is prohibited by law;
(c) bypass access controls, usage limits, security controls, licence controls or technical restrictions;
(d) introduce malware, malicious code, corrupted data, harmful scripts, ransomware, bots or other harmful material;
(e) scrape, harvest, crawl or bulk export data except through documented export functions or APIs authorised by Logivo.ai;
(f) use the Services to build, benchmark or train a competing product or service without Logivo.ai's prior written consent;
(g) interfere with, overload, disrupt or degrade the Services or the networks, systems or data of Logivo.ai or third parties;
(h) upload content that infringes third-party rights or contains unlawful personal data, special category data or criminal offence data unless the Customer has a lawful basis and the Order Form permits such processing; or
(i) remove proprietary notices or misrepresent the source or operation of the Services.
6.2 Logivo.ai may suspend access immediately where reasonably necessary to protect the Services, other customers, personal data, network security, legal compliance, or third-party rights. Where reasonable and lawful, Logivo.ai will notify the Customer and work to restore access when the issue is resolved.
7. Customer Data
7.1 As between the parties, the Customer retains all right, title and interest in Customer Data. Logivo.ai does not acquire ownership of Customer Data.
7.2 The Customer grants Logivo.ai and its subprocessors a non-exclusive, worldwide, royalty-free licence to host, copy, transmit, display, process, analyse and otherwise use Customer Data as necessary to: (a) provide, secure, support and improve the Services; (b) comply with the Agreement and Customer instructions; (c) prevent or address service, security, fraud or technical issues; (d) provide reports, exports, integrations and AI Features requested by the Customer; and (e) comply with applicable law.
7.3 Logivo.ai may create and use Usage Data and aggregated or de-identified data to operate, secure, measure, improve and develop the Services, provided such data does not identify the Customer or any individual.
7.4 The Customer is responsible for the accuracy, quality, legality, reliability and appropriateness of Customer Data. Logivo.ai is not responsible for errors in the Services or outputs caused by inaccurate, incomplete or unlawful Customer Data.
7.5 Logivo.ai will process personal data contained in Customer Data in accordance with the DPA.
8. AI Features and automated outputs
8.1 AI Features may produce suggestions, forecasts, classifications, summaries, routes, ETAs, extracted data, draft messages, reports, alerts or other outputs (**Outputs**). Outputs may be inaccurate, incomplete, delayed, biased or unsuitable for a particular purpose.
8.2 The Customer must review and verify Outputs before using them for operational, commercial, safety, employment, customer, billing, compliance or legal purposes. The Customer is responsible for decisions made using Outputs.
8.3 Logivo.ai does not warrant that AI Features will produce error-free, legally compliant, optimal, unique, uninterrupted or complete results.
8.4 Unless an Order Form expressly says otherwise, Logivo.ai will not use Customer Data to train general-purpose AI models for use outside the Services. Logivo.ai may use de-identified or aggregated data and Usage Data to improve safety, performance, detection, workflow quality and product functionality.
8.5 The Customer must not submit to AI Features any personal data, confidential information, special category data, criminal offence data, trade secrets or third-party material unless the Customer has the right and lawful basis to do so and the use is permitted under the Agreement.
9. Third-party services and integrations
9.1 The Services may connect to or rely on third-party products, networks, maps, telematics systems, payment services, communications providers, cloud services, AI providers, accounting systems, customer portals, fuel systems, ERP systems, warehouse systems or other integrations (**Third-Party Services**).
9.2 Third-Party Services are not controlled by Logivo.ai. Their availability, security, functionality, data accuracy and terms are the responsibility of the relevant third party, except to the extent Logivo.ai is directly responsible under the Agreement.
9.3 The Customer authorises Logivo.ai to exchange Customer Data with Third-Party Services enabled by the Customer or specified in the Order Form.
9.4 Logivo.ai may suspend or change an integration if the relevant Third-Party Service changes, becomes unavailable, creates a security risk, or requires Logivo.ai to do so.
10. Support, maintenance and changes
10.1 Logivo.ai will provide support through the channels and during the hours specified in the Order Form or Documentation. If no specific support terms are stated, support is provided during normal UK business hours on business days, excluding public holidays.
10.2 Logivo.ai may update, improve, modify or discontinue features from time to time, provided it does not materially reduce the core functionality of paid Services during a paid term without a reasonable replacement or workaround.
10.3 Logivo.ai may perform scheduled or emergency maintenance. Logivo.ai will use reasonable efforts to schedule non-urgent maintenance outside normal UK business hours and to give advance notice where practicable.
10.4 Beta, preview, experimental or early-access features may be changed or withdrawn at any time and are provided without service-level commitments.
11. Intellectual property
11.1 Logivo.ai and its licensors own all rights, title and interest in the Services, Software, Documentation, AI Features, workflows, templates, APIs, models, algorithms, know-how, design, user interface, inventions, developments, improvements and related intellectual property.
11.2 Except for the access rights expressly granted in the Agreement, no rights are transferred to the Customer.
11.3 If the Customer provides feedback, ideas, suggestions or requests, Logivo.ai may use them without restriction or obligation, provided Logivo.ai does not disclose Customer Confidential Information in doing so.
11.4 If Logivo.ai creates configuration, templates, scripts, connectors, workflows, reports, dashboards, modifications or other deliverables for the Customer, Logivo.ai owns them unless the Order Form expressly states otherwise. The Customer receives a licence to use them with the Services during the term.
12. Confidentiality
12.1 **Confidential Information** means non-public information disclosed by one party to the other that is marked confidential or should reasonably be understood to be confidential, including business, technical, financial, pricing, product, security, customer, supplier and operational information.
12.2 The receiving party must: (a) use Confidential Information only to perform or receive the benefit of the Agreement; (b) protect it using reasonable care and at least the same care it uses for its own similar information; and (c) disclose it only to personnel, affiliates, advisers, contractors and subprocessors who need to know it and are bound by confidentiality obligations.
12.3 Confidentiality obligations do not apply to information that is public without breach, already known without restriction, independently developed without use of the Confidential Information, or lawfully received from a third party without confidentiality restriction.
12.4 The receiving party may disclose Confidential Information where required by law, court order or regulator, provided it gives reasonable notice where lawful.
13. Data protection
13.1 Each party must comply with applicable data protection laws.
13.2 For personal data processed by Logivo.ai on behalf of the Customer as part of Customer Data, the Customer is the controller and Logivo.ai is the processor, unless the Order Form states otherwise. The DPA applies to that processing.
13.3 For personal data Logivo.ai processes for its own business purposes, such as account administration, billing, website analytics, sales, direct customer communications and security, Logivo.ai acts as controller as described in the Privacy Policy.
14. Fees, billing and payment
14.1 The Customer must pay the fees and charges set out in the Order Form and Billing Terms.
14.2 Unless stated otherwise, all prices are exclusive of VAT and other applicable taxes, levies and duties, which may be added to invoices.
14.3 Logivo.ai may suspend Services for overdue undisputed invoices in accordance with the Billing Terms.
14.4 The Customer must not withhold, set off or deduct amounts owed to Logivo.ai unless required by law or agreed in writing by Logivo.ai.
15. Term, cancellation and termination
15.1 The Agreement starts on the earlier of: (a) the date the Order Form is accepted; (b) the date the Account is created; or (c) the date the Customer first accesses the Services.
15.2 Unless the Order Form states a fixed term, the Services operate on a monthly usage cycle after the Trial Month. Cancellation takes effect at the end of the then-current usage month, and the Customer remains responsible for fees incurred up to that date.
15.3 Either party may terminate the Agreement if the other party materially breaches the Agreement and does not remedy the breach within 14 days after written notice. Logivo.ai may terminate immediately for serious security breaches, unlawful use, repeated payment default, infringement, abuse of trial access, or use that creates material risk to Logivo.ai or others.
15.4 Either party may terminate immediately if the other party becomes insolvent, enters administration, liquidation or receivership, ceases trading, or suffers an equivalent event.
15.5 On termination or expiry: (a) the Customer's right to use the Services ends; (b) all outstanding fees become payable; (c) Logivo.ai may provide a reasonable data export period unless prohibited by law, security risk or unpaid fees; and (d) Logivo.ai will delete or return Customer Data in accordance with the DPA and its backup deletion cycles.
15.6 Sections intended by their nature to survive will survive termination, including confidentiality, payment obligations, intellectual property, data protection, limitations of liability, indemnities, dispute provisions and governing law.
16. Warranties and disclaimers
16.1 Logivo.ai will provide the paid Services with reasonable skill and care.
16.2 The Services are provided over the internet and through third-party networks and providers. Logivo.ai does not warrant that the Services will be uninterrupted, error-free, free of delays, free of vulnerabilities, or compatible with all devices, networks, browsers, systems or third-party services.
16.3 Except as expressly stated in the Agreement, all warranties, conditions, representations and terms implied by statute, common law or otherwise are excluded to the fullest extent permitted by law.
16.4 The Services, Documentation and Outputs are not legal, tax, safety, employment, insurance, customs, accounting, regulatory or professional advice.
17. Indemnities
17.1 The Customer will defend and indemnify Logivo.ai against claims, losses, damages, liabilities, costs and expenses arising from: (a) Customer Data; (b) the Customer's breach of the Agreement; (c) the Customer's unlawful use of the Services; (d) instructions given by the Customer; or (e) claims that Customer Data infringes third-party rights.
17.2 Logivo.ai will defend and indemnify the Customer against third-party claims alleging that the paid Services, when used in accordance with the Agreement, infringe UK intellectual property rights, and will pay damages finally awarded or settlement amounts approved by Logivo.ai.
17.3 Logivo.ai has no indemnity obligation for claims arising from: (a) Customer Data; (b) unauthorised modification; (c) use contrary to the Agreement or Documentation; (d) combination with items not provided by Logivo.ai; (e) trial, beta or free services; or (f) continued use after Logivo.ai provides a reasonable workaround or replacement.
17.4 A party seeking indemnity must promptly notify the other party, provide reasonable cooperation, and allow the indemnifying party to control the defence and settlement, provided no settlement may impose non-monetary obligations or admissions on the indemnified party without consent.
18. Limitation of liability
18.1 Nothing in the Agreement limits or excludes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, payment obligations, or any liability that cannot lawfully be limited or excluded.
18.2 Subject to section 18.1, neither party is liable for indirect, consequential, special or punitive loss, loss of profit, loss of revenue, loss of goodwill, loss of anticipated savings, loss of business opportunity, or loss or corruption of data, whether arising in contract, tort, negligence, breach of statutory duty or otherwise.
18.3 Subject to sections 18.1 and 18.2, each party's total aggregate liability arising out of or in connection with the Agreement is limited to the fees paid or payable by the Customer to Logivo.ai for the Services in the 12 months immediately preceding the event giving rise to liability.
18.4 For trial or free services, Logivo.ai's total aggregate liability is limited to GBP 100 to the fullest extent permitted by law.
18.5 The limitations in this section apply even if a remedy fails of its essential purpose.
19. Notices
19.1 Legal notices to Logivo.ai must be sent to hello@logivo.ai and to the registered office stated above.
19.2 Notices to the Customer may be sent to the email address or postal address in the Account or Order Form. The Customer must keep notice details current.
19.3 Operational notices may be provided in-product, by email, via the website, or through support channels.
20. Changes to these Terms
20.1 Logivo.ai may update these Terms from time to time. Material changes to paid Services will take effect at the next renewal or usage month unless the change is required sooner for law, security, functionality, third-party service changes, or urgent operational reasons.
20.2 Continued use of the Services after the effective date of updated Terms constitutes acceptance of the updated Terms.
21. General
21.1 Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, strikes, labour disputes, war, terrorism, civil unrest, epidemic, pandemic, cyberattack, utility failure, internet failure, cloud provider failure, government action, or supply chain disruption.
21.2 The Customer may not assign or transfer the Agreement without Logivo.ai's prior written consent. Logivo.ai may assign or transfer the Agreement as part of a merger, reorganisation, financing, sale of assets, sale of business, or to an affiliate.
21.3 The Agreement does not create a partnership, joint venture, employment relationship, agency or franchise.
21.4 No person other than the parties has rights under the Contracts (Rights of Third Parties) Act 1999 to enforce the Agreement.
21.5 If any provision is invalid or unenforceable, the remaining provisions remain in effect and the invalid provision will be replaced by an enforceable provision that most closely reflects the original intention.
21.6 Failure to enforce a provision is not a waiver. A waiver must be in writing and signed by the party giving it.
21.7 The Agreement is the entire agreement between the parties regarding the Services and supersedes prior discussions, proposals and understandings regarding the Services.
22. Governing law and jurisdiction
The Agreement and any dispute or claim arising from it are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that Logivo.ai may seek injunctive or equitable relief in any competent court to protect its intellectual property, Confidential Information, security, or Services.
